Terms of Service

Last updated: 1 May 2026. Clear, fair terms for every engagement.

1. Services

XTRE Technologies ("XTRE", "we", "us") provides software engineering, AI development, ERP implementation, cloud infrastructure, and related digital services ("Services"). These Terms govern all engagements between XTRE and its clients ("you").

2. Engagement & Scope

All engagements are governed by a separate Statement of Work (SOW) or Master Services Agreement (MSA) signed by both parties. In the event of conflict between these Terms and an SOW/MSA, the SOW/MSA prevails. Scope changes must be agreed in writing before additional work commences.

3. Payment Terms

Invoices are issued per the schedule in your SOW. Payment is due within 14 days of invoice date unless otherwise agreed. Late payments attract interest at 1.5% per month. XTRE reserves the right to suspend work for overdue accounts after 7 days' written notice.

4. Intellectual Property

Upon receipt of full payment, all custom code, designs and documentation created solely for your project transfer to you. Pre-existing XTRE IP, open-source components, and third-party libraries remain with their respective owners. You grant XTRE a non-exclusive right to display completed work in our portfolio unless otherwise agreed in writing.

5. Confidentiality

Both parties agree to keep confidential any non-public business information disclosed during the engagement. This obligation survives termination for three years. Neither party will disclose the other's confidential information to third parties without written consent.

6. Warranties & Liability

XTRE warrants that Services will be performed with reasonable skill and care. Our aggregate liability for any claim arising from an engagement is capped at the total fees paid in the 3 months preceding the claim. We are not liable for indirect, incidental or consequential damages.

7. Termination

Either party may terminate an engagement with 30 days' written notice. You are responsible for fees for work completed up to the termination date. XTRE may terminate immediately for non-payment or material breach of these Terms.

8. Governing Law

These Terms are governed by the law specified in your Statement of Work or Master Services Agreement. Where none is specified, the parties will resolve disputes in good faith and, failing that, by arbitration as mutually agreed.

9. Changes

We may update these Terms periodically. Material changes will be communicated with 14 days' notice. Continued use of our Services constitutes acceptance of updated Terms.
